These Infinity Void Terms of Use ("Agreement") is an agreement between you and Vardhman Infinity (P) Ltd. (India) which governs your use of the Infinity Void Environment and any related products and services made available by Vardhman infinity (P) Ltd. (India) through https:/infinityvoid.io (collectively, the "Infinity Void"). By accessing and using Infinity Void, you acknowledge that you have read, understood and agree to be bound by this Agreement. If you do not agree to these terms, you must immediately cease your use of Infinity Void. The terms "we" and "our" refer to Vardhman infinity (P) Ltd. (India). The terms "you" and "your" refer to the user of or person or entity accessing the Infinity Void.
Software
You are well aware that we have developed a metaverse/Virtual Platform/Visualisation Platform/Game. It is a downloadable software that contains a dynamic 3-D virtual environment. It is electricity- and computer-intense simulation of the actual world. In a nutshell, it is a whole new 3D interactive environment present on the internet. It is only for entertainment and monetary purposes.
Change in Terms
Vardhman infinity (P) Ltd. (India) reserves the right, at its sole discretion, to change, modify, add or remove portions of the terms of this Agreement at any time without prior notice. Without prejudice to the foregoing, we will use reasonable means to notify you of any changes. If we modify this Agreement during the current term of your Infinity Void use, the new Agreement will come into effect on any extension to or renewal of that term.
License
Subject to the terms and conditions of this Agreement and to acceptable use, Vardhman infinity (P) Ltd. (India) grants you a non-exclusive, non-sublicensable and non-transferable right to access and use Infinity Void for Infinity Void term, for the sole purpose of assessing whether you wish to subscribe to the services offered through Infinity Void.
User Accounts
Infinity void is accessed via individual user accounts that are password protected ("User Account"). User Accounts are for registered users and cannot be shared or used by more than one user. You are responsible for all activity that takes place on your User Accounts. You agree that you are responsible for keeping your password confidential and secure. You also agree that you are solely responsible and liable for any activities that occur under your User Accounts and for any harm caused to Infinity Void as a result of use under any of your User Accounts.
Revocation of Access
Vardhman infinity (P) Ltd. (India) reserves the right to revoke a user account anytime, without prior notice at its sole discretion, including if/when an user account is being used in violation of the terms under this Agreement.
Reservation of Rights
Except for the rights expressly granted in these Terms of Use, Vardhman infinity (P) Ltd. (India) reserves all rights, title and interest in and to Infinity Void, including all related intellectual property rights. No rights are granted to you other than as expressly set forth herein.
Ownership of Your Data
As between Vardhman infinity (P) Ltd. (India) and you, you retain exclusive right, title and interest in and to all data that was not made available to you by Vardhman infinity (P) Ltd., either via Infinity Void or otherwise ("Your Data"). You are solely responsible for the accuracy, quality and integrity of Your Data and for the means by which you acquired Your Data. You shall ensure, at all times that the data is not in violation or derogation of any law, including but not limited to laws of India.
Infinity Void shall have the right to examine the data, at any point of time, and remove/block the same if the same found to be derogatory, defamatory or violation of any law. The decision of Infinity Void shall be final.
On termination or expiry of Infinity Void access rights and/or this Agreement, Vardhman infinity (P) Ltd. (India) shall delete all of Your Data. It is your responsibility to ensure that you have backed up and kept a copy of Your Data at all times and Infinity Void takes no responsibility towards the same.
Privacy Policy
Vardhman infinity (P) Ltd. (India) Privacy Policy applies to your use of this Infinity Void and its terms are incorporated into this Agreement by this reference.
Changes to Infinity Void
Vardhman infinity (P) Ltd. (India) reserves the right to modify Infinity Void (or any part thereof), either temporarily or permanently, at any time without prior notice to you. You agree that Vardhman infinity (P) Ltd. (India) shall not be liable to you or any third party, in any manner, for any modification, suspension or termination of Infinity Void. You acknowledge and agree that Vardhman infinity (P) Ltd. (India) has no obligation of any nature to provide Infinity Void, or any part of Infinity Void, now or in the future. For the sake of clarity, it is stated that Infinity Void reserves the right to modify, suspend or terminate its map (in part or whole) at any time without prior notice to you.
Sale of Space in Infinity Void
You may purchase a definite space in our software in the form of land parcels and commercial units. You are well aware that these are virtual properties and purely imaginative and not physical properties and thus no physical possession of such properties shall be given.
Limitation of Liability
In no event shall Vardhman infinity (P) Ltd. (India) be liable for any consequential, indirect, special, punitive or similar damages, or for loss of data or profit (whether actual or anticipated) or business interruption, arising out of the use of, or inability to use, Infinity Void and associated services, even if Vardhman infinity (P) Ltd. (India) or an authorised representative of Vardhman infinity (P) Ltd. (India) has been notified orally or in writing of the possibility of such damage. In case Vardhman Infinity (P) Ltd. (India). is unable to develop the platform due to technical, legal or commercial reasons, the project shall be abandoned and the money would be refunded to the current space owners at the value at which that particular land was sold to the first owner without any interest, compensation or penalty.
Intellectual Property
All right, titles and interest in and to Infinity Void, this website and associated services, including all associated intellectual property rights, vest in and belong to Vardhman infinity (P) Ltd. (India) exclusively and absolutely. All trademarks, trade names, service marks, copyright and logos are proprietary to Vardhman infinity (P) Ltd. (India) and your use of any marks on Infinity Void, this website or any service is strictly prohibited.
Miscellaneous
Vardhman infinity (P) Ltd. (India) failure to enforce, at any time, any of the provisions, conditions or requirements of this Agreement, or its failure at any time to require performance by you of any provision of this Agreement, will in no way waive your obligation to comply with each provision of this Agreement or Vardhman infinity (P) Ltd. (India) ability to enforce each such provision as written.
This Agreement is personal to you and cannot be assigned, nor any rights or obligations can be delegated at any time. Any purported assignment and delegation shall be ineffective and inoperative. Vardhman infinity (P) Ltd. (India) may freely assign, delegate, subcontract or otherwise deal with this Agreement or any of its rights or obligations under this Agreement at any time.
You shall keep all information related to Infinity Void, its functionality, related services or otherwise generated by you through the use of Infinity Void or received from Vardhman infinity (P) Ltd. (India) in connection with this Agreement or Infinity Void ("Information") confidential and shall not copy, adapt, alter or divulge to any third party any such Information and shall not use the Information in any way except for the sole purpose specified in this Agreement and except in accordance with this Agreement.
If any direct/indirect tax is imposed by the country of the seller/buyer the same shall be payable solely and exclusively by the buyer at any stage.
Vardhman Infinity (P) Ltd. (India) reserves the right to charge royalties/transfer charges on the resale of space as per rates fixed by them. It reserves the right to change the said rates at any time. Due to the decentralised nature of the sales there is a strict no refund policy.
No buyers shall be allowed to develop software in the Infinity Void without prior approval from Vardhman Infinity (P) Ltd. (India) and payment of necessary development charges.
Disclaimer of Warranties
Infinity Void and services provided through Infinity Void are provided on an "as is" and "as available" basis, without any warranty whatsoever. All warranties, representations, conditions and all other terms of any kind whatsoever implied by statute or common law are, to the fullest extent permitted by applicable law, excluded from this Agreement including, without limitation, that Infinity Void and associated services will be uninterrupted or virus or error-free, that any services will be uninterrupted or virus or error-free or that Infinity Void and/or associated services will meet your requirements or operate in combinations with hardware, software, platforms, systems or databases used by you or on your behalf.
Disclaimers
You acknowledge that Infinity Void is provided on an "as is" and "as available" basis. Infinity Void may contain errors or inaccuracies that could cause failures, including but not limited to data corruption or loss of data from Infinity Void and from peripherals (including, without limitation, servers and computers) connected thereto. Vardhman Infinity (P) Ltd. (India) is not obliged to provide any maintenance, technical or other support for Infinity Void but if it does provide any such maintenance or support, it shall be entitled to charge on the basis of its current charges at that time. You are responsible for backing up, to your own computer or other devices, any data that you store or access via Infinity Void. Any activities that you perform using or accessing Infinity Void are at your own risk. The videos and images used on any platform owned and governed by Vardhman infinity (P) Ltd. (India) shall be only for representational purposes. The actual product may vary. It is a metaverse/Virtual Platform/Visualisation Platform/Game only. There is no connection of the metaverse with the physical world/form. It is the responsibility of each potential purchaser of the tokens to determine if the purchaser can legally purchase the tokens in the purchaser's jurisdiction and whether the purchaser can then resell the tokens to another purchaser in any given jurisdiction. All buyers accept that these digital collectibles are not being sold as a security. Equally, all buyers agree they will consult the laws of their country prior to purchasing a Infinity Void NFT. Only purchase if in accordance with local laws. This Agreement and the subject matter of this Agreement shall be construed in accordance with and governed by the laws of the New Delhi, India and you submit to the exclusive jurisdiction of the courts of New Delhi, India. The Taxation jurisdiction shall be governed by the laws of New Delhi, India. If any authority requires the KYC of the users/buyers, the same shall be furnished by the users/buyers within the stipulated time period; period; and the failure may result in suspension or termination of your account.
